Responsibilities:
- Provide legal advice and support on a wide range of legal activities, including incorporation and structuring of entities and SPVs (including TKGK structures), obtaining power generation business licences, giving assistance to Feed-in Premium (FIP) application and other regulatory notifications, permits and licences related to the Battery Energy Storage System (BESS), onshore wind and solar generation business particularly in the context of foreign investment.
- Advise on renewable energy/power generation regulatory framework and developments with a proper understanding of the main terms and conditions of tender documents, bidding requirements, consortium/ MOU/EPC agreements with partners to participate in tenders, project financing agreements, power purchase agreements (PPA), balancing agreements and other typical contracts/ agreements used domestically or internationally by the renewable energy industry.
- Draft (in English and/or Japanese) and negotiate typical contracts used in the renewables industry and those related to renewable energy power generation projects such as non-disclosure agreements, sales and purchase agreements, energy performance contracts, commission framework agreements, engineering procurement contracts, joint development agreements, development service agreements, powers of attorney, corporate guarantees, and others.
- Advise on general business law issues and managing legal issues of all areas of the company, including but not limited to corporate matters (such as capital increase/injection, shareholder/intragroup loans, capital reduction and statutory filings), disputes, procurement, human resources, data, safety, security, insurance and sustainability and community issues.
- Provide support for M&A transactions in Japan, including deal structuring (share/asset deals, TKGK and JV structures) and review of transaction documents from a Japanese law perspective, providing assistance in legal due diligence, management of signing, closing and post-closing integration matters and required filings and notifications (e.g. FEFTA, METI, BOJ reporting and other sector-specific approvals), by working closely with in-house M&A Counsel and external counsel and coordinating with relevant authorities.
- Represent the department as required in liaison with the Country Manager / Business Development Units and other relevant support units such as Finance, Corporate Finance, Accounts, FP&A, Asset Management Office, Engineering and Procurement office, Operations and Maintenance Unit, etc.
- Anticipate and manage any legal risks connected with or resulting from business strategy and operations.
- Monitor legislative developments and secure compliance of business operations with relevant laws and regulations.
- Pro-actively create and maintain awareness of business employees for compliance with relevant laws and regulations.
- Deliver high-quality work under deadlines and conscious about managing legal budget.
- Any other assignment as and when required by the APAC General Counsel or Legal Head Office.
Requirements:
- Bachelor of Laws from a reputable university and qualified as Bengoshi.
- 3- 5 years of relevant enegy renewables experience.
- Previous experience in an in-house legal capacity preferred but not compulsory.
- Ability to work in both English and Japanese compulsory.
- Mandarin speaker candidates who are proficient in reading, writing in traditional Chinese who can also support Taiwan market is added advantage.
