LEGAL LEAD ASSOCIATE
MISSION
Advise in all areas of the organization and its legal matters, paying particular attention to the needs arising from Business Development mainly supporting Procurement, Engineering and Construction and Assets Operation in several energy assets (mainly RES projects).
MAIN ACCOUNTABILITIES
To perform the activities below following the instructions from the Director of Legal Business Development:
- Draft/review and negotiate contracts for design, development, construction and operation of projects, including, among others, solar main components/batteries/and/or wind turbines supply agreements, other main equipment’s’ supply agreements, EPCs, BOS and BOP contracts, logistics and operation and maintenance contracts.
- Draft/review and negotiate ancillary agreements such as, among others, MOUs, term sheets, confidentiality agreements, assignment agreements, services agreements, guarantees, modification and termination agreements and other relevant contractual arrangements.
- Management of post-contractual legal aspects, such as change orders, contract notices, claims, project amendments, as well as pre-litigious and litigious situations, analyzing and proposing legal strategies, as well as drafting legal reports.
- Management and proactive participation in driving and implementation of process improvements and tools enabling efficiency in the rendering of legal services (such as draft and update of templates, training to stakeholders, share best practices…)
- Coordinate efforts with other internal teams including procurement, engineering and construction, finance, tax, ESG, and other business units in multiple jurisdictions, to ensure maximum value and appropriate risk management for EDPR and its shareholders.
- Organize and guarantee the company’s fulfillment of contractual obligations during development, construction and operation of the projects.
- Identify critical project risk issues and communicate those risks to the appropriate members of the legal team or your supervisor for resolution and management.
- Efficiently manage outside counsel with an eye toward minimizing expenses.
- Other tasks and projects as assigned.
REQUIRED PROFILE
1. ACADEMIC LEVEL
- Law Degree
2. REQUIRED PROFESSIONAL EXPERIENCE
- 5-8 years of experience in international Law Firm or international company, advising on procurement and construction.
- 5-8 years of previous international work, procurement & construction and international contracts.
3. SPECIFIC KNOWLEDGE
- Ability to identify risks and propose alternative strategies in order to mitigate risks.
- Ability and willingness to timely meet changing priorities.
- Strong written and verbal communication skills.
- Understanding of Microsoft products and/or complementing products, including specific legal and process tools
- Competency in Analytical Problem solving, strong communication, customer/partner relationships, and technology expertise
4. LANGUAGES
- Languages: ability to read, write and speak professional English (proficiency) and Spanish fluently, encompassing strong written and verbal communication skills.
